Welcome to KYRAO WEB SOLUTIONS (“KYRAO,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, as well as any web design, development, digital operations, and consulting services provided by KYRAO. By accessing our website or engaging our services, you agree to comply with and be bound by these Terms.

1. Services & Scope of Work

KYRAO WEB SOLUTIONS provides high-performance website design, custom web development, digital operations, maintenance, and technical consulting. For all custom client engagements:

• Project scope, milestones, deliverables, timelines, and costs shall be defined in an agreed Proposal, Statement of Work (SOW), or Service Agreement.
• Any alterations, additions, or out-of-scope requests will require a formal change request and may incur additional fees and timeline adjustments.

2. Client Responsibilities & Collaboration

To ensure timely and successful project execution, the client agrees to:

• Provide required brand assets, text content, high-resolution media, access credentials, and technical specifications in a timely manner.
• Ensure that all materials and content supplied to KYRAO do not violate third-party copyrights, trademarks, or proprietary rights.
• Provide constructive feedback and milestone approvals within the agreed review windows specified in the SOW.

3. Quotations, Pricing & Payment Terms

• All quotes and proposals provided by KYRAO are valid for thirty (30) days from the date of issuance unless stated otherwise.
• Engagements typically operate on milestone-based billing (e.g., upfront commencement deposit, milestone progress disbursements, and final launch payment) or monthly retainer fees.
• Invoices must be settled within the timeframe stated on the invoice. Failure to make timely payments may result in the suspension of ongoing work or deferred deployment.
• All payments made for completed milestones or non-refundable deposits are non-refundable once work has commenced.

4. Intellectual Property & Ownership

• Client Deliverables: Upon receipt of full and final payment, the client owns all bespoke design elements, custom layouts, and client-specific code created expressly for the project.
• Pre-Existing Tools & Frameworks: KYRAO retains full ownership of any pre-existing frameworks, open-source libraries, reusable modules, workflows, and proprietary methodologies utilized during the engagement.
• Portfolio Rights: Unless explicitly restricted by a signed Non-Disclosure Agreement (NDA), KYRAO reserves the right to showcase completed client work, case studies, and screenshots in our portfolio, website, and promotional materials.

5. Revisions & Acceptance

Each project phase includes the number of revision rounds specified in the project SOW (typically two rounds of consolidated revisions per major milestone). Additional revisions beyond the agreed scope will be quoted separately at our standard hourly or milestone rate.

6. Third-Party Services & Hosting

KYRAO may recommend or integrate third-party hosting, domain registrars, payment gateways, APIs, or software plugins. While we strive to recommend reliable partners, KYRAO is not liable for service outages, security breaches, rate changes, or policy alterations originating from third-party platforms.

7. Warranties & Disclaimers

KYRAO provides all services with professional skill, diligence, and industry-standard best practices. However, our website and services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including fitness for a particular purpose or uninterrupted availability.

8. Limitation of Liability

To the maximum extent permitted by law, KYRAO WEB SOLUTIONS shall not be liable for any indirect, incidental, consequential, special, or punitive damages—including loss of profits, data loss, business interruption, or reputational harm—arising out of or related to the use or inability to use our services or website.

9. Termination

Either party may terminate an ongoing service agreement by providing written notice as specified in the applicable SOW. In the event of early termination, the client shall pay for all work completed and expenses incurred up to the effective termination date.

10. Governing Law & Jurisdiction

These Terms shall be governed by, interpreted, and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Telangana, India.

11. Amendments

KYRAO reserves the right to revise or update these Terms & Conditions at any time. Changes will become effective immediately upon posting to our website. Continued use of our website or engagement of our services after updates are published constitutes acceptance of the revised Terms.
